We are currently seeking a Manager, Shareholder Services to join our Corporate Secretary’s Office in Richmond, Virginia.

The successful candidate will provide the Corporate Secretary’s Office with support for: Board of Directors-related matters; Annual Shareholder Meetings; assisting with Section 16 reporting obligations and other SEC/NYSE reporting matters; research and analysis of corporate governance and disclosure matters; and shareholder relations matters.

Specific accountabilities include:

* Assist in the preparation, compilation and distribution of Board of Directors meeting materials, including utilization of electronic portal
* Conduct complex research and analysis on corporate governance and disclosure/SEC reporting matters; summarize research for management
* Monitor and assess shareholder services and corporate governance trends
* Preparation and filing of Section 16 reporting materials (Forms 3, 4 and 5) with the SEC
* Monitor compliance with NYSE requirements on certain governance-related matters and assist in periodic NYSE reporting
* Assist in preparation of the annual proxy statement
* Assist in planning and organizing aspects of the annual shareholder meeting working with a cross-functional team
* Review communications from shareholders and develop appropriate follow up recommendations
* Vendor management responsibilities
* Interact regularly with and provide direct support to senior department leadership, including the Corporate Secretary
